Terms of Service

These Terms set out the basic rules for using AgreePack, including accounts, billing, consent records, and data.

Article 1 (Application)

These Terms govern the conditions of AgreePack and the rights and obligations between Tsugaru Design Studio (the “Operator”) and users.

Instructions, notices, pricing, and other rules displayed in the service form part of these Terms.

Article 2 (Definitions)

  • “User” means an individual, corporation, or organization that agrees to these Terms and registers an account.
  • “Workspace” means the unit in which documents, members, and consent history are managed.
  • “Consent Subject” means a person who receives a consent-page link and reviews, enters information, or performs a consent action.
  • “User Content” means documents, text, images, personal information, and other information uploaded, entered, sent, or stored by a User or Consent Subject.
  • “Consent Record” means the relevant document, consent time, entered information, operation history, access information, and related records.
  • “Evidence Pack” means a feature that organizes or exports Consent Records for later review.

Article 3 (Service)

AgreePack provides document registration, consent pages, URL sharing, consent-history storage, evidence organization, member management, and billing-related functions.

The Operator may add, change, or discontinue functions as necessary.

AgreePack is not an electronic-signature, electronic-authentication, official identity-verification, or legal-advice service.

The Operator does not guarantee the legal validity, evidentiary value, completeness, or fitness for a particular purpose of any document or consent.

Article 4 (Eligible Users)

AgreePack is primarily intended for individuals, sole proprietors, corporations, and organizations using it for business or professional purposes.

A person acting for an organization represents that they have authority to bind that organization to these Terms.

A minor must obtain consent from a legal representative before entering into a subscription.

Article 5 (Registration)

Applicants must provide accurate and current information using the prescribed method.

The Operator may reject or cancel registration for false or incomplete information, impersonation, prior suspension, involvement with antisocial forces, or other reasonable grounds.

Users must promptly update changed registration information.

Article 6 (Account Management)

Users are responsible for managing email addresses, passwords, and other credentials.

Credentials must not be lent, transferred, or shared.

Unless attributable to the Operator, actions performed with valid credentials are treated as actions of the account holder.

Suspected credential leakage or misuse must be reported promptly.

Workspace administrators are responsible for granting, changing, and removing member permissions.

Article 7 (User Content)

Rights in User Content remain with the User, Consent Subject, or other lawful owner.

The Operator may process User Content as necessary to provide, maintain, secure, troubleshoot, and legally operate the service.

Users warrant that User Content is lawfully obtained or created, that they have authority to upload it, and that it does not violate law, public order, or third-party rights.

The Operator does not provide legal review or verify accuracy or suitability for a particular case.

The Operator does not use User Content to train generative AI models without the User’s explicit consent.

Article 8 (Responsibility for Documents and Consent)

Users are responsible for document contents, explanations, purposes, and consent procedures.

Users must provide necessary explanations and complete legally required consent or other procedures.

Users must not assume that AgreePack alone satisfies any legally required writing, signature, identity-verification, or other formality.

Users must take required steps for minors, persons under guardianship, and sensitive personal information.

Article 9 (Personal Information)

The Operator handles personal information under the Privacy Policy.

Users are responsible for required notices, disclosures, consents, and other steps when uploading third-party personal data.

Where the Operator processes personal data on behalf of a User, it does so only as necessary to provide the service.

Users are responsible for responding to requests from Consent Subjects, and the Operator will provide reasonable assistance.

Article 10 (Fees and Payment)

AgreePack offers Free and paid plans. Fees, functions, limits, and payment timing are shown on pricing pages, in the application, or in separate notices.

Paid-plan payments are processed through Stripe or another designated payment provider.

Users must provide accurate and valid payment information.

For unpaid fees, the Operator may suspend paid features, change the plan, or restrict the account.

Article 11 (Renewal, Plan Changes, and Refunds)

Paid plans renew automatically unless changed or canceled through the prescribed method.

Downgrades to Free take effect at the time shown in the application.

Data exceeding the new plan limits is handled as displayed in the application or separate notices.

Paid fees are non-refundable except where required by law or separately approved. Prorated refunds are generally not provided.

Article 12 (Data Storage, Export, and Deletion)

Users should export and retain documents, consent history, or evidence packs when necessary.

After plan changes, suspension, termination, or account deletion, the Operator may delete User Content after an operationally necessary period.

Backup copies are deleted according to backup rotation cycles.

Information may be retained as necessary for legal compliance, billing, disputes, abuse investigations, or audits.

The Operator has no obligation to restore deleted data.

Article 13 (Prohibited Conduct)

Users must not:

  • Violate law or public order
  • Engage in criminal conduct
  • Infringe third-party rights, interests, reputation, or credit
  • Submit false or misleading information
  • Upload personal information without a lawful basis
  • Upload unnecessary sensitive information, My Number data, or payment-card information
  • Impersonate another person in a consent action or operation
  • Interfere with or overload the service
  • Attempt unauthorized access, vulnerability scanning, or reverse engineering
  • Transmit malware or harmful code
  • Sell, lend, or improperly share accounts or consent-page URLs
  • Provide benefits to antisocial forces
  • Engage in other conduct reasonably deemed inappropriate by the Operator

Article 14 (Suspension and Account Termination)

The Operator may suspend use, delete accounts, or take other necessary measures for violations, unpaid fees, false registration, abuse, security risks, failure to respond, or other reasonable grounds.

Where there is no urgency, the Operator will make reasonable efforts to provide advance notice.

Article 15 (Service Suspension or Termination)

The Operator may suspend all or part of the service for maintenance, outages, security issues, disasters, power failures, government action, or other circumstances beyond reasonable control.

The Operator may terminate the service for business or other reasons and will make reasonable efforts to provide advance notice unless urgent.

Export methods and deadlines at service termination will be announced separately.

Article 16 (External Services)

AgreePack may rely on external providers for payments, hosting, email, analytics, error monitoring, and other functions.

External outages, specification changes, discontinuation, or terms changes may affect the service.

Article 17 (Intellectual Property)

Intellectual-property rights in the service, software, design, logos, text, and related materials belong to the Operator or lawful owners.

These Terms do not transfer those rights to Users.

Article 18 (Free Templates and Information)

Free templates, examples, articles, and other information are general reference materials.

The Operator does not guarantee suitability for any specific business, industry, jurisdiction, or legal requirement.

Users must review and revise materials and obtain professional advice when appropriate.

Providing these materials does not constitute legal or professional advice.

Article 19 (Disclaimer)

The Operator does not guarantee completeness, accuracy, security, continuity, legal compliance, fitness for purpose, or absence of defects.

The Operator does not guarantee the identity of Consent Subjects, accuracy of entered information, or that consent was freely given.

The Operator does not guarantee admissibility or evidentiary weight of Consent Records.

Users should combine AgreePack with electronic signatures, identity verification, written delivery, or other methods where required.

Article 20 (Liability)

Except for willful misconduct, gross negligence, or cases where liability cannot legally be limited, liability is limited to direct and ordinary damages actually incurred.

The total liability under the preceding paragraph is capped at the total service fees paid during the six months before the damage occurred.

Except where liability cannot legally be limited, the Operator is not liable for lost profits, indirect or special damages, or data-loss damages.

Article 21 (Changes to These Terms)

The Operator may change these Terms where reasonably necessary due to legal or service changes.

Material changes and their effective date will be announced in advance by service notice, email, or another appropriate method.

Unless separate consent is legally required, continued use after the effective date constitutes acceptance.

Article 22 (Notices)

The Operator may contact Users by registered email, in-service notice, website publication, or another appropriate method.

Users must keep registered email addresses current and able to receive messages.

Article 23 (Assignment and Severability)

Users may not assign, transfer, or pledge their status or rights and obligations without prior consent.

If the business is transferred, the Operator may transfer contractual status, rights, obligations, and user information to the transferee.

If any provision is invalid or unenforceable, the remaining provisions remain effective.

Article 24 (Governing Law and Jurisdiction)

These Terms and the service relationship are governed by Japanese law.

The Aomori District Court or Aomori Summary Court has exclusive jurisdiction as the court of first instance.
